Terms of Service

1. Acceptance of Terms
By accessing or using G-Casper Pro (the "Service"), operated by CineTools, a division of Prodigium ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms") and all applicable laws and regulations. If you do not agree with any of these Terms, you are prohibited from using or accessing the Service. These Terms constitute a legally binding agreement between you and the Company.
2. Use License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use G-Casper Pro solely for your own internal film and television production purposes. This license does not include the right to:
- Sublicense, resell, distribute, or make the Service available to any third party on a service-bureau, time-sharing, or similar basis
- Use the Service for the purpose of building a competitive product or service, or for any purpose that is competitive with the Service
- Copy, adapt, or otherwise reproduce any portion of the Service, its features, functionality, or user interface for use outside the Service
This license shall automatically and immediately terminate if you violate any of these Terms, and may be terminated by us at our sole discretion at any time without prior notice.
3. Service Description
G-Casper Pro provides digital call sheet creation, distribution, and management tools for film and television productions. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without liability.
4. User Responsibilities
You are responsible for:
- Maintaining the confidentiality of your account credentials and session
- All activities that occur under your account, whether or not authorized by you
- Ensuring your use of the Service complies with all applicable laws, regulations, and industry standards
- The accuracy, legality, and appropriateness of all information and content you provide through the Service
- Promptly notifying us of any unauthorized use of your account or any other breach of security
5. SMS Communications and Consent
By using G-Casper Pro's SMS notification features, you acknowledge and agree to the following:
Your Responsibility for Recipient Consent
You represent and warrant that you have obtained proper consent from all crew members, cast members, and other production personnel before adding their phone numbers and sending them SMS notifications through G-Casper Pro. This consent may be obtained through employment agreements, crew deal memos, or other standard industry practices.
Permitted Use
SMS notifications sent through G-Casper Pro must be:
- Related to the production for which recipients are engaged
- Limited to call sheets, schedule changes, and production-related communications
- Sent only to individuals who have a legitimate business relationship with your production
Prohibited Use
You may not use G-Casper Pro's SMS features to:
- Send marketing or promotional messages unrelated to production work
- Send messages to individuals who have not consented or opted out
- Share recipient phone numbers with third parties
- Send spam, unsolicited communications, or any illegal content
Opt-Out Compliance
G-Casper Pro automatically honors opt-out requests. When a recipient replies STOP, they will be removed from future SMS sends. You agree not to manually re-add or circumvent opt-out preferences.
6. Payment Terms
Paid subscriptions are billed in advance on a daily, monthly, or annual basis. All fees are non-refundable except as required by law or as explicitly stated otherwise.
7. Intellectual Property
7.1 Ownership
The Service, including all software, content, features, functionality, designs, text, graphics, interfaces, and the selection and arrangement thereof, is owned by the Company and its licensors and is protected by United States and international copyright, trademark, trade secret, patent, and other intellectual property or proprietary rights laws. All rights not expressly granted herein are reserved by the Company and its licensors.
7.2 Trademarks
"G-Casper Pro," "G-Casper," the G-Casper Pro logo, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates or licensors. The "Casper" name is used under license from Paul Silver, Elion Olson, and Michael R. Williams, the original creators of the CASPER call sheet system. All associated rights, goodwill, and intellectual property pertaining to the "Casper" mark are acknowledged and respected pursuant to the terms of said license. You may not use such marks without the prior written permission of the Company or the applicable rights holder.
7.3 Proprietary Rights in Service
You acknowledge that the Service contains proprietary and confidential information, including but not limited to its underlying technology, processes, methods, algorithms, workflows, data structures, user interface design, and documentation. You agree that this information constitutes valuable trade secrets of the Company, whether or not marked as confidential, and you shall not disclose, publish, or otherwise make available any such information to any third party.
7.4 User Content
You retain ownership of all production data, call sheets, and other content you create using the Service ("User Content"). By using the Service, you grant us a limited, non-exclusive license to host, store, and process your User Content solely as necessary to provide and improve the Service. We will not sell, share, or distribute your User Content to third parties except as described in our Privacy Policy.
8. Confidentiality
You agree to hold in confidence and not disclose to any third party any non-public information regarding the Service, including but not limited to its features, functionality, performance, pricing structures, and business practices (collectively, "Confidential Information"), except as required by law or with our prior written consent. This obligation of confidentiality shall survive termination or expiration of these Terms.
9. Prohibited Conduct
You agree not to, and shall not permit any third party to, engage in any prohibited activities in connection with the Service.
9.1 Reverse Engineering and Unauthorized Access
You shall not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, data structures, or underlying ideas or methodologies of the Service or any part thereof. You shall not circumvent, disable, or otherwise interfere with any security, access control, or authentication features of the Service, nor access or attempt to access any systems, data, or functionality that you are not authorized to access. You shall not probe, scan, or test the vulnerability of the Service or any related system or network.
9.2 Data Scraping and Harvesting
You shall not use any robot, spider, crawler, scraper, or other automated means to access or collect data from the Service for any purpose. You shall not systematically download, store, reproduce, or redistribute any content, data, or materials from the Service, in whole or in part, nor aggregate, mine, or compile information or data obtained from the Service to build or enhance any database, product, directory, or service. You shall not extract or attempt to extract any data not intended for your direct use, including but not limited to user information, contact details, or production data belonging to other users.
9.3 Competitive and Unauthorized Use
You shall not access or use the Service for the purpose of developing, improving, training, or operating any product or service that competes with G-Casper Pro, whether directly or indirectly. You shall not monitor the availability, performance, or functionality of the Service for any benchmarking or competitive purpose, nor study, analyze, or evaluate the Service's features, user experience, workflows, or business methods for the purpose of replicating them in any other product or service. You shall not use the Service on behalf of, or for the benefit of, any entity that offers a competing product or service without our prior written consent.
9.4 User Solicitation and Data Misuse
You shall not use the Service to collect, harvest, or compile personal information, contact details, or other data about other users for any purpose not directly related to your authorized production activities. You shall not solicit, recruit, or contact users of the Service for the purpose of directing them to any competing product or service, or for any commercial purpose unrelated to your production. You shall not build, facilitate, or provide tools or mechanisms designed to export, migrate, or transfer user data from the Service to any competing product or service. Contact information obtained through the Service, including but not limited to crew and cast names, phone numbers, and email addresses, shall be used only for the specific production for which it was provided.
9.5 General Prohibitions
You shall not use the Service in any manner that could damage, disable, overburden, or impair the Service or interfere with any other party's use thereof. You shall not forge headers or otherwise manipulate identifiers to disguise the origin of any content or communication transmitted through the Service, nor impersonate any person or entity or misrepresent your affiliation with a person or entity. You shall not use the Service in violation of any applicable law, regulation, or third-party rights, nor assist, encourage, or enable any third party to engage in any of the conduct prohibited by this Section.
10. Enforcement and Remedies
10.1 Violations
We reserve the right to investigate and take appropriate action against any suspected violation of these Terms, including but not limited to: immediately suspending or terminating your access to the Service; removing or disabling content; reporting violations to law enforcement authorities; and pursuing any available civil remedies.
10.2 Injunctive Relief
You acknowledge that any breach or threatened breach of Sections 7 (Intellectual Property), 8 (Confidentiality), or 9 (Prohibited Conduct) would cause irreparable harm to the Company for which monetary damages would be an inadequate remedy. Accordingly, the Company shall be entitled to seek equitable relief, including injunction and specific performance, in addition to all other remedies available at law or in equity, without the necessity of proving actual damages or posting any bond or other security.
10.3 Indemnification
You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to your violation of these Terms, your use of the Service, or your violation of any rights of a third party.
11. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall the Company, its affiliates, or its licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of, or inability to access or use, the Service; (b) any conduct or content of any third party on the Service; (c) any content obtained from the Service; or (d) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of such courts.
13. Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions of these Terms shall continue in full force and effect.
14. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company regarding the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Service.
15. Changes to Terms
We reserve the right to modify these Terms at any time at our sole discretion. We will notify users of material changes via email or through a prominent notice within the Service. Your continued use of the Service following the posting of revised Terms constitutes your acceptance of such changes.
